Recitals

WHEREAS, Giddaa Housing Limited ("Giddaa"), a subsidiary ofGiddaa Inc., is a company registered under the Nigerian Corporate Affairs Commission with registration number RC NO. 69144284, providing an online platform to facilitate short-term rental bookings, real estate transactions, property management services, and advisoryservices;

WHEREAS, Giddaa operates as an intermediary between users ("Clients" or "Users") and property owners, hosts, property managers, to enable the booking, sale, or lease of properties through its website and mobile applications;

WHEREAS, Giddaa aims to provide users with a reliable and efficient platform to discover and book short-term rental accommodations, while acting solely as a facilitator of these bookings and not as the actual owner, manager, or operator of the rental properties listed on the Platform;

WHEREAS, by accessing and using the Platform, you, as a User or Client, agree to be bound by these Terms and Conditions, which govern your use of the services provided by Giddaa, including your registration, booking process, and any transactions conducted through the Platform;

NOW, therefore, these Terms and Conditions set forth the legally binding obligations, rights, and responsibilities of both Giddaa and the Users with respect to the use of the Platform and the services provided herein.

Definition of terms

For the purposes of these Terms and Conditions, the following terms shall have the meanings ascribed to them below:

1. "Giddaa" – Refers to Giddaa Housing Limited, the company providing the online platform for property transactions, short-term rental bookings, and related services, a subsidiary of Giddaa Inc., registered under the Nigerian Corporate Affairs Commission with registration number RC NO. 69144284.
2. "Platform" – Refers to the website, mobile applications, and associated services provided by Giddaa, including any tools or systems used to access, interact with, or book properties on the platform.
3. "User" or "Customer" – Refers to an individual or entity who accesses or uses the Platform for the purpose of discovering and booking short-term rental properties, or engaging in any other real estate transactions provided by Giddaa.
4. "Short-Term Rental" – Refers to any property that is listed on the Platform for temporary accommodation for a period generally not exceeding 30 days, as booked by a User through the Platform.
5. "Property Owner", "Property Manager" or "Host" – Refers to any individual or entity that owns, manages, or lists a short-term rental property on the Platform for booking by Users.
6. "Booking" – Refers to the reservation of a short-term rental property made by a User through the Platform, including any related agreements or transactions between the User and the Property Owner.
7. "Services" – Refers to the various services provided by Giddaa through the Platform, including but not limited to property discovery, short-term rental booking, real estate advisory, property management, and transaction facilitation.
8. "Refund Policy" – Refers to the policy established by the Property Owner, regarding the conditions under which payments may be refunded to a User following a booking or property purchase.
9. "Account" – Refers to the personal profile created by the User upon registration on the Platform, which may include personal information, login credentials, and transaction history.
10. "Transaction" – Refers to any exchange or contract that involves the purchase, lease, or booking of a property through the Platform, including any associated payments or agreements.
11. "Indemnification" – Refers to the obligation of the User to hold Giddaa harmless and cover any expenses, damages, or legal costs arising from the User’s use of the Platform, breach of these Terms, or violation of third-party rights.
12. "Due Diligence" – Refers to the process of investigation and verification conducted by Giddaa and/or the User to ensure the legitimacy and accuracy of property listings, hosts, and involved in the transaction.
13. "Dispute Resolution" – Refers to the process of resolving conflicts or disagreements between the parties (User and Giddaa, User and Property Owner, or any other party involved) through methods such as arbitration, mediation, or legal proceedings, as outlined in these Terms.
14. "Intellectual Property" – Refers to all trademarks, copyrights, patents, trade secrets, logos, content, and any other proprietary information owned by Giddaa or its licensors, and used on the Platform.
15. "Third Party" – Refers to any individual, company, or entity that is not directly involved in the agreement between Giddaa and the User, including but not limited to developers, banks, property owners, hosts, and external service providers.

1. Eligibility

To use the Services provided by Giddaa, you must meet the following criteria:

• You must be at least 18 years of age.
• Your registration and use of the Services must comply with all applicable laws and regulations.
• You must be mentally fit to use the services we provide.
• You must not have been previously suspended or banned from using the Platform due to a breach of the Terms of Use.

By accepting these Terms, you represent and warrant that you meet these eligibility requirements.

2. Accounts and Registration

To use the Platform, you must create an account by providing certain personal information, including but not limited to your email address, phone number, and age. You agree that the information you provide is accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account and password and are responsible for all activities under your account.

• Account Sharing: Your account is personal to you. You may not share your account or allow others to use it unless you have entered into a commercial agreement with Giddaa to act on behalf of others.

3. Scope of Giddaa's Services

Giddaa serves as an online marketplace that connects users to short-term rental options. Giddaa does not own, manage, or operate the short-term rental properties listed on the Platform. The Platform merely facilitates the booking process between the customer and the property owner or manager. Giddaa is not responsible for the actions or omissions of property owners, hosts, or any third party involved in the rental process.

4. Liability Disclaimer

• No Liability for Incidents at Properties: Giddaa is not liable for any accidents, injuries, losses, damages, or other incidents that may occur during your stay at any property booked through the Platform. You acknowledge that Giddaa is merely a facilitator and does not assume any responsibility for the safety, security, or condition of the short-term rental properties.
• Limited Liability for Property Conditions: Giddaa makes no representations or warranties about the quality, condition, or amenities of any property listed on the Platform. Any disputes, complaints, or issues related to the property should be resolved directly with the property owner or host.
• No Liability for Property Availability: While Giddaa strives to ensure the accuracy of listings, we are not liable for any errors or discrepancies regarding the availability, description, or pricing of properties. Properties may be unavailable for booking, or their availability may change at any time without prior notice.

5. Refund Policy

Refunds for bookings made through Giddaa are subject to the refund policy of the individual property owner, manager, or host. Giddaa is not responsible for managing or processing refunds, and any refund requests must be directed to the property owner or host as per their refund policy. Giddaa makes no guarantees about the likelihood or timing of a refund.

6. Due Diligence and Advisory

Giddaa provides a platform for short-term rental bookings but does not guarantee the accuracy or reliability of information provided by property owners, managers or hosts, though we verify every property listed on the platform. You are strongly advised to perform your own due diligence on the listing prior to booking.

7. Intellectual Property Rights

All content, trademarks, logos, and intellectual property on the Platform are owned by Giddaa or its licensors. You may not use, reproduce, distribute, or modify any content from the Platform without prior written consent from Giddaa.

8. Prohibited Uses of the Platform

By using the Platform, you agree not to

• Engage in any unlawful activity or activity that harms Giddaa, other users, property owners, or third parties.
• Distribute spam, viruses, or any harmful content through the Platform.
• Interfere with the functioning of the Platform or bypass security measures.
• Impersonate any person or entity, or falsely represent your affiliation with any organization.

9. Data Security

Giddaa takes the privacy and security of your data seriously. We employ industry-standard security measures to protect the information you share with us. However, Giddaa is not liable for any data breaches or cyberattacks that occur outside of our direct control. You are advised to exercise caution when sharing personal information online.

10. Limitation of Liability

Giddaa, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the Platform, including but not limited to loss of profit, data, or any other loss. You are solely responsible for any charges or costs incurred when accessing or using the Platform, including mobile data charges or internet fees.

11. Indemnification

You agree to indemnify and hold harmless Giddaa, its officers, directors, employees, and affiliates from any claims, damages, liabilities, costs, and expenses, including legal fees, arising out of:

• Your use of the Platform.
• Your violation of these Terms.
• Any disputes or claims related to the rental properties you book.

12. No Liability for Property Incidents

Giddaa will not be held responsible for any incidents occurring at short-term rental properties, including but not limited to accidents, theft, property damage, or personal injury. Giddaa is not responsible for ensuring the safety, health standards, or suitability of the rental properties listed on the Platform.

13. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms or the use of the Platform shall be resolved through mediation or arbitration. If such methods fail, the dispute may be brought before a court of competent jurisdiction in Nigeria.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of law, the remaining provisions will remain in full force and effect.

15. Amendment of Terms

Giddaa reserves the right to modify or update these Terms at any time, without prior notice, at our sole discretion. Any changes will be effective immediately upon being posted on the Platform. By continuing to use the Platform after such modifications, you agree to be bound by the updated Terms.
